Terms of Service
1. Scope
These Terms of Service govern all quotations, orders and sales between us (the "Seller") and the buyer (the "Buyer") for the products offered on this website. By placing an order you accept these terms unless otherwise agreed in writing.
2. Quotations and Prices
All prices are ex-works (EXW) and do not include any other charges, including but not limited to freight, insurance and any other costs.
Unless a currency is expressly stated or otherwise specified, all prices on this website are quoted in US dollars (USD) by default. Quotations are valid for 30 days from the date of issue and may change before an order is confirmed.
Prices may be adjusted for changes in specification, material costs, exchange rates or order quantity.
If the final agreed price differs from the price displayed on this website, the final negotiated price shall prevail. Displayed prices are for reference only and do not constitute an offer.
3. Orders and Formation of Contract
An order is only binding on us once we have confirmed it in writing (by email or proforma invoice). We may decline or cancel an order where the requested specification cannot be met, where the quantity falls below the applicable minimum order quantity (MOQ), or in cases of suspected fraud.
4. Payment Terms
Unless otherwise agreed in writing, our standard terms are:
- 30% deposit by T/T upon order confirmation;
- 70% balance by T/T before shipment.
Bank charges and any intermediary fees are for the Buyer's account. Goods remain our property until payment has been received in full.
5. Delivery and Risk
Delivery dates are estimates given in good faith and are not guaranteed. Under EXW terms, risk in the goods passes to the Buyer when the goods are made available at our premises. Shipping, insurance and import duties are arranged by and at the cost of the Buyer.
6. Inspection and Claims
The Buyer must inspect the goods promptly on arrival. Any claim for shortage, damage or specification deviation must be notified in writing within 7 days of receipt, together with photographs and packing details. Claims made after this period may not be accepted.
7. Warranty
We warrant that the goods conform to the agreed specification and are free from defects in materials and workmanship for 12 months from the date of shipment, unless a different period is stated in the order. This warranty does not cover damage caused by misuse, improper storage, unauthorised modification or normal wear. Our obligation is limited, at our option, to repair or replacement of the defective goods.
8. Intellectual Property
All product images, photographs, descriptions, drawings and other content on this website are our property or used with permission, and may not be copied, reproduced, modified or used commercially without our prior written consent. Where the Buyer supplies artwork, logos or designs for OEM/ODM orders, the Buyer confirms that it holds the necessary rights and indemnifies us against any third-party claim.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or in connection with an order shall not exceed the amount actually paid by the Buyer for the goods concerned. We are not liable for indirect or consequential loss, including loss of profit, loss of business or loss of goodwill.
10. Force Majeure
We are not liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, war, government action, strikes, transport disruption or failure of suppliers.
11. Governing Law and Disputes
These terms are governed by the laws of the People's Republic of China. The parties shall first attempt to resolve any dispute through friendly negotiation. If no solution is reached, the dispute shall be submitted to the competent court or arbitration body at the Seller's place of business.
12. Changes
We may update these terms from time to time. The version in force is the one published on this page at the time an order is placed.
13. Language Versions
These terms may be provided in Chinese, English and other languages. In the event of any ambiguity or conflict between language versions, the Chinese version shall prevail.
